Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ORIGIN data driven business intelligence platform, website, and related services (collectively, the "Service") provided by ORIGIN Intelligence, Inc. ("ORIGIN," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

The Service is designed for businesses in the alcoholic beverage industry. By using ORIGIN, you represent that:

• You are at least 21 years of age.
• You have the authority to bind your organization to these Terms.
• Your use of the Service complies with all applicable federal, state, and local laws, including TTB regulations.

2. Account Registration

• You must provide accurate, complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at hello@getorigin.net if you suspect unauthorized access.

3. Subscription & Payments

Plans

ORIGIN offers tiered subscription plans (Starter, Growth, Estate) as described on our pricing page. Features and limits vary by plan.

Billing

• Subscriptions are billed monthly or annually, depending on the plan selected.
• All fees are in US dollars and are non-refundable except as required by law.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

Free Trial

We may offer a free trial period. At the end of the trial, your account will convert to a paid subscription unless you cancel before the trial expires.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools (bots, scrapers) to access the Service without our written permission.
• Transmit malware, viruses, or other harmful code.
• Interfere with or disrupt the integrity or performance of the Service.
• Resell, sublicense, or redistribute access to the Service without authorization.

5. Your Data

Ownership

You retain all rights to the data you input into ORIGIN ("Your Data"), including wine inventory, transaction records, club member information, barrel aging records, and harvest data. We do not claim ownership of Your Data.

License

You grant ORIGIN a limited, non-exclusive license to use, process, and display Your Data solely to provide and improve the Service for you.

Data Portability

You may export Your Data at any time using the Reports & Export feature (CSV or JSON format).

Data Isolation

Your Data is isolated from other users through row-level security. No other ORIGIN customer can access your winery's data.

6. Intellectual Property

The Service, including its design, code, algorithms, analytics models, branding, and documentation, is the exclusive property of ORIGIN Intelligence, Inc. and is protected by intellectual property laws. You may not copy, modify, or create derivative works based on the Service.

7. Third-Party Integrations

The Service may integrate with third-party services (Square, Lightspeed, Toast, Clover, Microsoft OneDrive, Google Sheets). Your use of these integrations is subject to the respective third party's terms and privacy policies. ORIGIN is not responsible for the availability, accuracy, or conduct of third-party services.

8. Disclaimers

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• ORIGIN does not guarantee that analytics, forecasts, or recommendations will be accurate or lead to specific business outcomes.
• Tax calculations, TTB compliance features, and filing calendars are provided for informational purposes only and do not constitute legal or tax advice. You are responsible for verifying all tax obligations with a qualified professional.
• Market intelligence data is sourced from public and licensed third-party sources and may not reflect real-time conditions.

9. Limitation of Liability

To the maximum extent permitted by law, ORIGIN Intelligence, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to ORIGIN in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ORIGIN Intelligence, Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

11. Termination

• You may cancel your subscription at any time from your account settings or by contacting us.
• We may suspend or terminate your account for violation of these Terms, with notice when practicable.
• Upon termination, your right to access the Service ceases. Your Data will be retained for 90 days, during which you may request an export, after which it will be permanently deleted.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Virginia.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or a notice on the platform at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
